License Terms & Conditions

1. Definitions

"Palace Server" means the proprietary server-side software made available under a commercial license at palacememory.com. "palace-rs" means the open-source Rust crate published under the MIT license. "License Key" means the signed Ed25519 string issued to you after a successful subscription payment. "Seat" means one individual developer authorised to connect to the licensed Palace Server instance.

2. Grant of License

Upon payment of the applicable subscription fee, we grant you a non-exclusive, non-transferable, limited license to install and run Palace Server for internal use with the number of Seats specified in your subscription plan, for the subscription period only.

3. Seat Limits

Free / Open Core: 1 user under the MIT core terms. Team plan: up to 10 Seats. Growth plan: up to 30 Seats. Enterprise: custom terms. You must not exceed the Seat count in your active License Key. Changes to Seat count require a subscription update via the Stripe billing portal, which triggers automatic re-issuance of a new License Key.

4. Restrictions

You may not:

• Redistribute, sublicense, or resell Palace Server or License Keys;
• Reverse-engineer or attempt to forge the license signature;
• Use a single License Key for more Seats than purchased;
• Share License Keys outside your organisation.

5. Open-Source Components

The palace-rs crate (the Rust library embedded in Palace Server) is available under the MIT license and remains free to use independently. Purchasing a Palace Server license does not affect your rights under the MIT license for palace-rs.

6. Subscription & Billing

Subscriptions are billed annually or monthly via Stripe. You may cancel at any time through the billing portal. Upon cancellation, your License Key will be deactivated at the end of the current billing period (~13-month license validity provides a grace window for re-activation). Refunds are handled on a case-by-case basis — contact support within 7 days of a charge if you believe a billing error occurred.

7. Warranty Disclaimer

Palace Server is provided "as is" without warranties of any kind. We do not warrant that the software will be error-free or uninterrupted. Your sole remedy for defects is to request a correction or cancel your subscription.

8. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability to you for any claims arising out of or relating to this license shall not exceed the amounts paid by you in the twelve months preceding the claim.

9. Governing Law

These terms are governed by the laws of the European Union jurisdiction in which the licensor is domiciled. Any disputes shall be resolved in the competent courts of that jurisdiction.
